Terms of Service

1. Acceptance of terms

By accessing or using OctoComply ("the Service"), operated by Daruma Tech LLC ("Daruma Tech," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are accepting on behalf of a government entity or other organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, do not use the Service.

2. Description of service

OctoComply is a software-as-a-service platform providing digital accessibility compliance tools for government entities, including automated WCAG scanning, accommodation request management, AI-assisted document remediation, and compliance certification. The Service is provided on a subscription basis with a free tier and paid tiers as described on our pricing page.

3. Account registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must promptly notify us of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription and billing

Paid subscriptions are billed monthly in advance via Stripe. By subscribing, you authorize Daruma Tech to charge your payment method on a recurring basis. Subscriptions automatically renew unless cancelled before the renewal date.

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods, except as required by applicable law.

We reserve the right to change subscription prices with 30 days' notice. Continued use after the notice period constitutes acceptance of the new pricing.

5. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law
  • Scan websites or domains you do not own or have authorization to scan
  • Attempt to access, modify, or interfere with data belonging to other accounts
  • Reverse engineer, decompile, or disassemble any component of the Service
  • Use automated means to access the Service in a way that exceeds normal usage
  • Resell or sublicense the Service without our written consent
  • Use the Service to store or transmit malicious code

6. Your data

You retain ownership of all data you submit to the Service, including scan targets, uploaded documents, and accommodation request data. By using the Service, you grant Daruma Tech a limited license to process your data solely to provide the Service. We do not use your data to train AI models or share it with third parties except as described in our Privacy Policy.

7. Compliance disclaimer

OctoComply provides tools to assist with digital accessibility compliance. The Service is not a substitute for legal advice. A compliance score, scan result, or compliance certificate issued by OctoComply does not constitute a legal determination of compliance with the ADA, Section 508, WCAG 2.1, or any other law or standard. You are solely responsible for ensuring your organization meets applicable legal requirements. We recommend consulting with qualified legal counsel regarding your specific compliance obligations.

8. Intellectual property

The Service, including all software, reports, certificates, and content generated by OctoComply (excluding your data), is the intellectual property of Daruma Tech LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from our intellectual property without our written consent.

9. DocTool branding and white-label license

The OctoComply DocTool displays a "Powered by OctoComply" attribution in modal dialogs ("DocTool Branding"). By using the free tier of the Service, you agree that DocTool Branding will remain visible and unmodified on all pages where the DocTool is installed.

You may not remove, obscure, modify, or override DocTool Branding through CSS, JavaScript, or any other means without purchasing a White-Label License. Removal or modification of DocTool Branding without a valid license constitutes a violation of these Terms and of Daruma Tech's intellectual property rights.

White-Label License pricing: DocTool Branding may be removed by purchasing a one-time White-Label License at the following rates:

  • $990 for the first domain per organization
  • $495 for each additional domain under the same organization (50% discount)

White-Label Licenses are non-transferable and apply only to the specific domain(s) specified at the time of purchase. License fees are one-time payments and do not recur. To purchase a White-Label License, contact hello@civiccomply.com.

10. Accommodation request data

The DocTool collects accommodation request data from end users of your website ("Requesters"), including names, email addresses, and document URLs. You are the data controller for this information. Daruma Tech processes this data on your behalf to deliver the Service.

On the free tier, Daruma Tech may monitor aggregated, non-personally-identifiable accommodation request activity (such as request volume and document types) for account management and service improvement purposes. Agency notification emails on the free tier may be copied to Daruma Tech for this purpose. This monitoring is discontinued on paid tiers unless you opt in.

IP addresses of Requesters are hashed using SHA-256 before storage and are never stored in raw form. Requester email addresses are used solely to send confirmation and fulfillment notifications and are not used for marketing purposes.

11. Warranty disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. DARUMA TECH DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT WARRANT THAT THE SERVICE WILL IDENTIFY ALL ACCESSIBILITY VIOLATIONS OR THAT REMEDIATED DOCUMENTS WILL BE FULLY COMPLIANT WITH ALL APPLICABLE STANDARDS.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DARUMA TECH LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL DARUMA TECH'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID DARUMA TECH IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless Daruma Tech LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or any other reason at our discretion, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections 7–13 and 15–16 survive termination.

15. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved in the state or federal courts located in Palm Beach County, Florida. You consent to the exclusive jurisdiction and venue of such courts.

16. Changes to terms, pricing, and features

We reserve the right to modify these Terms, our pricing, and the features included in each plan at any time at our sole discretion. We will provide at least 30 days' notice of material changes by email or by posting a notice on the Service.

We may add, modify, or discontinue features of the Service at any time. We are not obligated to maintain any specific feature, integration, or service level for any plan tier, except as expressly stated in a separately executed service-level agreement.

Your continued use of the Service after the effective date of any changes constitutes acceptance. If you do not agree to the revised Terms, pricing, or feature changes, you may cancel your account before the changes take effect.
